Terms of Service

ZapArc

Effective: August 31, 2026

These Terms of Service ("Terms") govern your use of the ZapArc mobile application, browser extension, and related software and services (collectively, "ZapArc"), provided by BTC HODL LTD EOOD ("we", "us", or "our"). By installing, accessing, or using ZapArc, you agree to these Terms.

1. License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use ZapArc on devices you own or control, subject to these Terms, applicable open-source licenses, and the rules of the applicable app store or browser-extension marketplace.

2. Self-Custody and Sole Responsibility

By using ZapArc, you acknowledge and accept that:

• If you lose your device without a recorded backup of your seed phrase, your funds will be permanently inaccessible. We cannot help you recover them.
• If you reveal your seed phrase to anyone, that person can take your funds. Treat it like cash.
• Transactions on Bitcoin, Lightning, Spark, and other supported networks may be final and irreversible. There may be no chargeback mechanism.
• You are responsible for keeping a secure offline backup of your seed phrase before depositing meaningful funds.

3. Network Reliance

ZapArc relies on third-party protocols, networks, software, app stores, APIs, rate providers, notification services, and infrastructure, including Bitcoin, Lightning, Spark, Breez SDK, Google, and Apple services. We do not control those third parties and are not responsible for their availability, security, accuracy, fees, rules, actions, omissions, or failures. Their own terms and policies may apply.

4. No Financial Advice

Information shown in ZapArc — including balances, exchange rates, payment status, swap quotes, fees, notifications, and diagnostics — is informational only and may be delayed, incomplete, or inaccurate. Nothing in ZapArc constitutes financial, tax, investment, accounting, or legal advice. You are solely responsible for your decisions and for independently verifying information before relying on it.

5. Stablecoin Swaps and Token Conversions

Where available, swap and token-conversion features rely on third-party protocols and services. Quotes are estimates and may change before execution. We do not set or guarantee exchange rates, liquidity, fees, execution, settlement, availability, or the value or redeemability of any asset.

6. Acceptable Use

You agree not to:

• Use ZapArc to facilitate illegal activity or in violation of any law applicable to you.
• Use ZapArc to interact with sanctioned jurisdictions or persons in violation of applicable export-control or sanctions regimes.
• Attempt to extract another user's private keys or interfere with the underlying networks.

You are responsible for compliance with all laws applicable to you in your country of residence.

7. No Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZAPARC IS PROVIDED "AS IS" AND "AS AVAILABLE", WITH ALL FAULTS AND WITHOUT WARRANTIES OR CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WE DISCLAIM IMPLIED WARRANTIES INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, SECURITY, AVAILABILITY, AND RELIABILITY.

We do not warrant that ZapArc will be uninterrupted, error-free, or secure; that a transaction will be accepted, routed, settled, reversed, refunded, or completed within a particular time; or that displayed wallet state will always be current or accurate.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BTC HODL LTD EOOD AND ITS AFFILIATES, CONTRIBUTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF FUNDS, KEYS, DATA, PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, OR USE, ARISING OUT OF OR RELATED TO ZAPARC, THIRD-PARTY SERVICES, OR YOUR USE OR INABILITY TO USE THEM.

To the maximum extent permitted by applicable law, our total aggregate liability will not exceed the greater of the amount you paid us directly for ZapArc during the 12 months before the event giving rise to the claim or EUR 50.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including mandatory consumer rights that apply in your country.

9. Updates and Changes

We may modify, suspend, restrict, or discontinue ZapArc or any feature and may update these Terms, subject to applicable law. Material changes will be identified by a new effective date and, where required, reasonable notice. If you do not agree to updated Terms, stop using ZapArc.

10. Termination

You may stop using ZapArc at any time. Before uninstalling or removing the software, you are solely responsible for confirming that you have a valid, secure backup and understand how to recover your wallet.

11. Governing Law

These Terms are governed by the laws of Bulgaria, without regard to conflict-of-law rules. If you are a consumer, you retain any mandatory protections and rights to bring proceedings available under the law of your country of residence.
